NOTE 9 - SUBSEQUENT EVENTS On April 25, 2018, we issued 57,672 shares of common stock valued at $0.49 per share or $28,000, to SRID as payment for consulting service rendered in accordance with their consulting agreement (see Note 5 ). Such shares were issued upon exemptions from registration pursuant to Regulation S of the Securities Act.During the period from
April 1, 2018 through May 14, 2018 we sold 857,143 shares of our common stock to four accredited investors at $0.70 per share, totaling $600,000, as part of our March 2018 private placement (see Note 5 ). Such shares were issued upon exemptions from registration pursuant to Section 4 (a)(2 ) of the Securities Act, and Rule 506 promulgated thereunder. The offering was terminated on May 11, 2018.
